Richa Industries Ltd has informed BSE that the members at the 14th Annual General Meeting (AGM) of the Company held on September 29, 2008, inter alia, have unanimously passed the following resolutions:

1. Adoption of the Balance Sheet as at March 31, 2008 and Profit & Loss account for the year ended March 31, 2008 along with the Report of the Board of Directors and Corporate Governance and Auditors Report thereon.

2. Re-appointment of Mr. Neeraj Bajaj as a Director of the Company.

3. Re-appointment of M/s. Tayal & Co., Chartered Accountants, Faridabad, as Auditors of the Company, to hold office from the conclusion of this Meeting to the next Annual General Meeting of the Company, on remuneration, terms & conditions.

4. Re-appointment of Mr. J S Chaudhary & Mr. J P Malhotra as Directors of the Company, liable to retire by rotation....
