C & C Constructions Limited has informed the Exchange that pursuant to Section 192A of the Companies Act, 1956, read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001, the following resolutions in terms of Section 372A of the Companies Act, 1956 are proposed to be passed as Special Resolutions by way of Postal Ballot: 1) Consent / Confirmation of the Board Resolution giving corporate guarantee under section 372A of the Companies Act, 1956. 2) Previous authority of shareholders in respect of making investment, giving loans / guarantees and providing security in terms of 372A of the Companies Act, 1956. The Board of Directors has appointed Mr. Lalit Dhingra, Proprietor, M/s Lalit Dhingra & Associates, Practising Company Secretaries, as Scrutinizer for conducting this Postal Ballot voting process in a fair and transparent manner. The duly completed postal ballot form should reach the Scrutinizer not later than the close of working hours on November 04, 2008. The Chairman of the Company will announce the results on November 12, 2008. C & C Constructions Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on September 30, 2008 have recommended the dividend @ 27.5% i.e. Rs.2.75 per equity share, subject to the approval of the Shareholders of the Company at the ensuing Annual General Meeting. C & C Constructions Ltd has informed BSE that the Board of Directors of the Company at its meeting held on September 30, 2008, inter alia, has recommended a Final Dividend @ 27.5% (i.e. Rs 2.75 Per Equity Share of Rs 10/- each) for the year ended June 30, 2008, subject to necessary approvals.

Further the Board of Directors of the Company had at the same meeting also approved the passing of resolutions under section 372A of the Companies Act, 1956, by way of postal ballot process....
