Talbros Automotive Components Ltd has informed BSE that the members at the 51st Annual General Meeting (AGM) of the Company held on September 29, 2008, inter alia, have accorded to the following resolutions:
1. Adoption of Balance Sheet as at March 31, 2008 and Profit And Loss Account for the year ended on that date and the Directors Report and the Auditors Report thereon.
2. Payment of dividend @ 15% on enhanced share capital of Rs 11,93,56,300.
3. Re-appointment of Mr. V Mohan & Mr. Naresh Talwar, who retires by rotation as directors of the Company.
4. Appointment of Statutory Auditors and Branch Auditors of the Company.
5. Appointment of Mr. Amit Burman & Mr Brian Williams as Director of the company.
6. Appointment of Mr. Varun Talwar as Joint Managing Director & CEO (forging Division) of the Company....

Talbros Automotive Components Limited has informed the Exchange that "The Share Issue Committee of the Company in their Meeting held on 27th September 2008 has allotted 4,10,000 Equity shares of face value of Rs. 10 per share pursuant to conversion of 4,10,000 Zero Coupon fully Convertible Warrants issued @Rs. 65 per Warrant (being 1 Warrant Convertible into 1 Equity share) aggregating to Rs.265.50 lacs with lock in period of 3 years i.e. upto 28.03.2010 to Talbros Motors (P) Ltd. The Share Issue Committee inter alia also resolved to forfeit the balance 2,34,000 Convertible warrants. Accordingly the Company has forfeited the 10% upfront amount received on 234,000 Zero Coupon fully Convertible Warrants @ Rs. 6.50 per warrant (being 10% of price of warrant) aggregating to Rs.15.21 lacs as the option to acquire shares by the other promoters companies has not been exercised within the prescribed period of time. The last date for exercise of the said option was 28.09.2008, and the detail of allottees whose warrants have been forfeited is as follows: (1) Name of the Allottee: Q H Talbros Ltd; No. of Warrants forfeited: 124000; Amount (Rs) : 8,06,000. (2) Name of the Allottee: Talbros International Ltd: No. of Warrants forfeited: 110000; Amount (Rs) : 7,15,000. Total : No. of Warrants forfeited: 234000; Amount (Rs) : 15,21,000"....

From the company balance sheet as on 31st March\\`2008 one can understand why company is holding back div info as they have incurred derivative loss to the extend of Rs. 3 Crores(Gross) as a result there is 5% cut in dividend also i.e from 20% to 15%.
