Allied Digital Services Limited has informed the Exchange that: "Allied Digital Services Limited (NSE:ADSL) a reputed Indian, Enterprise IT Infrastructure Management Services provider has acquired 80.5% stake in US based En Pointe Global Service, a Limited Liability Company, in the business of IT Infrastructure Management/Remote Management Services provider ; a provider a carved out subsidiary of EnPointe Technologies, a NASDAQ listed Company. The transaction is a combination of cash and equity swap, entailing upfront cash payment of USD 10 Million and issuance of 7,45,000 equity shares (subject to shareholders and regulatory approval) of Allied Digital Services Limited to EnPointe Technologies Sales, Inc as the total consideration for 80.5% stake". Further the Company has issued a press release, dated July 09,2008, titled "Allied Digital acquires US based EnPointe Global Services LIc for USD 30 Million". A copy of the press release shall be available on the NSE website (http://www.nseindia.com) under: Corporates > Latest Announcements and on the Extranet Server (/Common/Corporate Announcements).
