Centum Electronics Limited has informed the Exchange vide notes to Accounts in the Unaudited Financial Results for the quarter ended June 30, 2008 (taken on record by the Board of the Directors of the Company at its Meeting held on July 31, 2008) that : "Pursuant to Section 297 of the Companies Act, 1956, the Company was required to obtain prior approval of the central government for the transactions with a private company in which a director of the Company is interested and the auditors have expressed the same as a qualification in the Auditors report for the year ended March 31, 2008 and in the review report for the quarter ended June 30 2008. The Company has made an application to condone the same"....
