Ece Industries Limited has informed the Exchange that "The Board of Directors in thier meeting held on 31st October, 2008, have passed the following resolutions: (1). To offer and issue shares or other securities on right basis for an aggregate amount not exceeding Rs.50 Crores, subject to approval under the Companies Act and other applicable provisions and regulations. (2). To increase the Authorized Share Capital from Rs.15 Crores to Rs.21 Crores consisting of 1,50,00,000 equity shares of Rs.10/- each amounting to Rs.15 Crores and 60,00,000 Preference Shares of Rs. 10/- each amounting to Rs. 6 Crores and accordingly make changes in the Memorandum of Association and Articles of Association of the company with the approval of shareholders. (3). To shift Registered Office of the company from Delhi to Sonepat (Haryana), with the necessary approval from the shareholders and Company Law Board and such other provisions as may be necessary (4). Sh. P.K. Mohta, Chairman of the company has been appointed as Managing Director of the company, subject to the necessary approval from the shareholders in the General Meeting. Sh. P.K. ECE Industries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on October 31, 2008, inter alia, has passed the following resolutions:

1. To offer and issue shares or other securities on right basis for an aggregate amount not exceeding Rs 50 Crores, subject to approval under the Companies Act and other applicable provisions and regulations.

2.
