Balaji Telefilms advanced 6.03% to Rs 183 at 09:57 IST on BSE after the company terminated an agreement with Rupert Murdoch\'s Star Group, Asian Broadcasting FZ LLC, through which Star held a stake in the media company.
On BSE, 91,602 shares were traded in the counter. The scrip had an average daily volume of 1.16 lakh shares in the past one quarter.
The stock hit a high of Rs 184.65 and a low of Rs 174.90 so far during the day. The stock had hit a 52-week high of Rs 388 on 26 November 2007 and a 52-week low of Rs 146.50 on 16 July 2008.
The mid-cap company had underperformed the market over the past one month till 14 August 2008, gaining 1.61% compared to the Sensex’s return of 10.45%. It had also underperformed the market in the past one quarter, gaining 2.31% compared to Sensex’s decline of 13.28%.
The company has an equity capital of Rs 13.04 crore. Face value per share is Rs 2.
The current price of Rs 183 discounts its Q1 June 2008 annualised EPS of Rs 13.66, by a PE multiple of 13.39.
Balaji\'s promoters are entitled to acquire Star Group\'s 25.99% stake in the company at an average price of Rs 190 each within 240 days, failing which Star would be free to sell it to any others except a competitor.
The two companies have also ended their agreement for regional language joint ventures signed in April 2007.
Balaji Telefilms’ net profit rose 20.7% to Rs 22.26 crore on 22.9% increase in net sales to Rs 91.60 crore in Q1 June 2008 over Q1 June 2007.

Execution of an agreement ("Agreement") by the Company with Star Group, Asian Broadcasting FZ-LLC. ("ABF"), and the promoters of the Company, Mr. Jeetendra Kapoor, Ms. Shobha Kapoor, Ms. Ekta Kapoor and Mr. Tusshar Kapoor ("Promoters"), whereby the parties have agreed to terminate in the manner specified in the Agreement, the various agreements entered into between the parties inter-se in August 2004 in relation to the acquisition by ABF of a total of 25.99% of the share capital in the Company. The agreements entered into between, the Company and Star, in April 2007, relating to the regional languages Joint Venture will also be terminated.
Pursuant to the Agreement, the Promoters are entitled to purchase, on their own account and / or through third, party(ies) nominated by them, the entire shareholding held by ABF in the Company for an average price of Rs 190/- (Rupees One Hundred and Ninety Only) per share, within, a period not exceeding 240 days. If the purchase does not take place within the prescribed period, ABF is entitled to sell its shares in the Company to any person other than a competitor of the Company.
The content supply agreements between Star and the Company for various shows produced by Company will be modified to remove the restrictions imposed upon the Company relating to exclusively on certain prime time slots.
The six existing shows produced by the Company and currently on air with Star Plus, will continue on terms mutually agreed upon by the two parties....
