Sunil Hitech Engineers Ltd has informed BSE that the members at the 10th Annual General Meeting (AGM) of the Company held on September 18, 2008, inter alia, have unanimously passed the following resolutions:

1. Adoption of the Audited Profit & Loss A/c for the year ended March 31, 2008 and the Balance Sheet as at that date together with the Report of the Board of Directors and the Auditors.

2. Declaration of dividend @ 12% on the share capital of Rs 12.27 crores.

3. Reappointment of Mr. Dilip Ghanekar & Mr. Sajid Ali, who retired by rotation.

4. Reappointment of Statutory Auditors, Who retire by rotation.

5. Appointment of Mr. Sonyabapu S Waghmare as Additional Director.

6. Appointment of Parag Sakalikar as Additional Director.

7. Pursuant to the provisions Section 293(1)(d) or the Companies Act, 1956, authority to borrow money up to Rs 1000 Crores.

8. Authority to mortgage and create charge on the properties of the Company subject to
